Freshfields Bruckhaus Deringer (‘Freshfields’) advised private equity sponsor Goldfinch Partners on its acquisition of Vesta, a fintech pioneer in fully guaranteed payment and fraud protection technologies. The transaction, which is valued at approximately $125 million, signed on May 8, 2020, and closed on May 18, 2020.
“Vesta’s CEO Ron Hynes and his team have broadened the firm’s product range and entered new markets, giving new life to a pioneer and longtime leader in the card-not-present payments space,” said Sean Collins, managing partner and co-founder of Goldfinch Partners. “We’re pleased to back the team and the company as they continue to grow and serve organizations across the e-commerce and fintech spaces.”
Freshfields partner Matthew F. Herman added “Execution challenges for all M&A participants increased exponentially with the COVID-19 crisis. We are thrilled for the opportunity to act for Goldfinch Partners, a team we know well, on this important transaction.”
The Freshfields team was led by M&A partner Matthew F. Herman, counsel Andrea Basham, and associates Lucy Lei and Anthony Paladino; finance partner Kyle Lakin and associate Francesca Loreto; IP partner Mena Kaplan and associate Marissa Yu; employee benefits partner Lori Goodman, counsel Kevin Kay, and associates Jordan Salzman and Jeffrey Anand; tax partner Claude Stansbury; and litigation special counsel Peter Jaffe.
